TERMS AND CONDITIONS

This Agreement is made between:

1. Emflowerment (hereinafter referred to as “The Host”) and 2. “The Vendor”.

Both parties agree to the following terms and conditions:

1. Purpose

The Vendor agrees to display and sell their products at Emflowerment’s shopfront located at KAP Mall, under the terms outlined in this Agreement.

2. Display Space

• The Host will provide a designated display shelf / area within the shopfront for the Vendor’s products.
• Assignment of shelves / workshop space is based on first come first serve.
• The Vendor is required to keep track of their own inventory.
• The Vendor may come to the store anytime during our opening hours to check or replenish products as needed.
• The vendor is to set up their own products in the initial setup.
• Emflowerment will take over the selling during the tenancy period.
• No outside tables and chairs are to be brought into the venue.

3. Duration

• Rental of shelves have a minimum commitment of 3 months.
• Display period will commence on [Start Date] and end on [End Date], unless extended by mutual agreement.
• Any renewal must be confirmed at least 7 days before the end of the current term.

4. Payment Terms

• A one-time administrative fee of $50 is required to proceed with the booking.
• Payment Due: Full payment is required before setup or display commencement (Not applicable for Package B).
• Late Payment: Late payments beyond 5 days will incur a late fee of SGD 10 per week (Not applicable for Package B).
• Refund Policy: Fees are non-refundable once the payment and display term has begun.

5. Sales & Commission (where applicable)

Package A – Monthly Rental:
- The Vendor retains 100% of sales proceeds; The Host does not take any commission.
- Rates: $50 per month for 1 shelf (100cm)
- Monthly rental will billed upfront 

Package B – Commission Basis:
- The Host will collect payments on behalf of The Vendor and deduct a 15% commission per sale.
- Sales will be tallied and paid out to The Vendor on a monthly basis, together with a simple sales report.

6. Product Responsibility

• The Vendor is responsible for pricing, labeling, and tagging all products.
• The Host will take reasonable care of displayed items but is not liable for loss, theft, or damage unless caused by negligence.

7. Marketing & Promotion

• The Host may feature The Vendor’s products in social media posts, photos, or marketing materials.
• The Vendor agrees to allow such use of product images for promotional purposes without additional payment.

8. Termination

• Either party may terminate the agreement with 7 days’ written notice.
• No refund will be issued for early termination by the Vendor once the display has commenced.
• Emflowerment may at its sole discretion choose to waive some or all parts of this contract.
• Emflowerment reserves the right to amend any terms and conditions without prior notice.
• Emflowerment reserves all rights to ban the vendor from booking in future in the event of any dispute.

10. Agreement

By registering under Emflowerment, vendors have read, understood and agreed to observe the terms and conditions stated above.
